Terms of Service

These Terms of Service ("Terms") govern your access to and use of the Flap website, interfaces, software, APIs, smart-contract interfaces, and related services (collectively, the "Services").
By accessing or using the Services, you agree to these Terms. If you do not agree, you must not use the Services.
1. Eligibility
You may use the Services only if you are at least 18 years old, have the legal capacity to enter into these Terms, and your use of the Services is lawful in your jurisdiction.
The Services are not available to any person or entity that is subject to applicable economic or trade sanctions, or whose use of the Services would violate applicable law (a "Restricted Person").
You may not use a VPN, proxy, or other technology to circumvent legal, compliance, or geographic restrictions imposed through the Services.
Certain features, assets, or integrations may be unavailable in particular jurisdictions and may be subject to additional eligibility requirements.
2. About the Services
Flap provides software and blockchain infrastructure that allows users to create, launch, discover, and interact with digital assets and smart contracts.
Depending on the functionality available, users may be able to:
- create and launch tokens;
- interact with bonding curves;
- buy and sell digital assets through blockchain-based mechanisms;
- migrate liquidity to decentralized exchanges;
- interact with vaults, rewards, and automated mechanisms; and
- access third-party assets and blockchain services.
Flap does not operate a centralized order book and does not act as a counterparty to transactions merely because they are initiated through the Services.
Transactions are executed through public blockchain networks, smart contracts, decentralized exchanges, and other decentralized or third-party infrastructure.
3. Non-Custodial Services
Flap is generally non-custodial.
You retain control of your wallet, private keys, and digital assets. Flap does not make transaction decisions on your behalf and generally cannot cancel, reverse, modify, or recover blockchain transactions.
You are solely responsible for:
- securing your wallet and private keys;
- verifying transaction details before signing;
- verifying token and smart-contract addresses; and
- maintaining sufficient assets to pay network fees.
Loss or compromise of your wallet credentials may result in permanent loss of your assets.
4. Token Launches
Tokens available through Flap may be created by independent users, developers, or communities.
Unless expressly stated otherwise, Flap:
- is not the issuer of user-created tokens;
- does not control token creators or communities;
- does not guarantee the value, liquidity, or performance of any token;
- does not guarantee that a token will complete a bonding curve or migrate to a decentralized exchange; and
- does not endorse a token merely because it is displayed, ranked, verified, promoted, or accessible through the Services.
If you create, launch, manage, or promote a token using Flap, you are responsible for complying with applicable laws and for the information and content you provide.
You may not use Flap to create or promote fraudulent, deceptive, unlawful, or infringing digital assets.
5. Smart Contracts and Blockchain Risks
The Services rely on public blockchain networks and smart contracts.
Smart contracts may contain bugs, vulnerabilities, economic design flaws, or unexpected behavior. Blockchain networks may experience congestion, outages, forks, reorganizations, exploits, or other failures.
Any audit, review, verification, security assessment, badge, or technical check displayed through Flap applies only to the specific code or functionality reviewed and does not guarantee that any token, project, vault, or smart contract is safe.
Blockchain and digital-asset activities involve substantial risk, including the possible loss of some or all of your assets.
You assume these risks when using the Services.
6. Third-Party Services and Assets
Flap may provide access to or interact with third-party services, including blockchain networks, decentralized exchanges, wallets, bridges, oracles, liquidity protocols, token issuers, and tokenized asset providers.
Flap does not control these third parties and is not responsible for their security, availability, accuracy, liquidity, solvency, or performance.
Your use of third-party services may be subject to separate terms and eligibility requirements.
Certain Services may allow interaction with third-party tokenized assets that reference equities, funds, commodities, or other real-world assets.
Unless expressly stated otherwise, Flap is not the issuer, broker, custodian, exchange, or redemption provider for such assets and does not guarantee their backing, redemption, legal status, value, or liquidity.
7. Fees
Certain Services may involve protocol fees, token launch fees, transaction-related fees, liquidity-related fees, vault-related fees, blockchain network fees, or third-party fees.
Applicable fees may be displayed through the interface, transaction details, documentation, or relevant smart contracts.
Blockchain network fees and third-party fees are outside Flap's control.
Fees and blockchain transactions may be irreversible once completed.
8. Prohibited Uses
You may not use the Services to:
- violate applicable law;
- engage in fraud, theft, deception, or misrepresentation;
- engage in money laundering, terrorist financing, or sanctions evasion;
- manipulate markets through wash trading, spoofing, artificial volume, or similar conduct;
- impersonate another person, project, company, or Flap team member;
- infringe intellectual property or other third-party rights;
- introduce malicious software or smart contracts;
- interfere with the security or operation of the Services;
- circumvent legal, compliance, or access restrictions; or
- create or promote digital assets for unlawful or deceptive purposes.
Flap may restrict access to Flap-operated Services where we reasonably believe these Terms or applicable law have been violated.
9. No Financial or Investment Advice
Flap does not provide investment, financial, brokerage, securities, legal, accounting, or tax advice.
Nothing available through the Services constitutes:
- investment advice;
- a recommendation to buy, sell, or hold any asset;
- an offer or solicitation of securities; or
- a representation regarding the future value or performance of any asset.
You are solely responsible for your own decisions and for evaluating the risks of any digital asset or transaction.
10. Information and Availability
Information displayed through the Services, including token prices, market capitalization, trading volume, holder information, rankings, rewards, and other blockchain data, may be inaccurate, delayed, incomplete, or unavailable.
Flap does not guarantee the accuracy or completeness of such information.
We may modify, suspend, restrict, or discontinue any part of the Services at any time.
Certain smart contracts may continue operating independently of the Flap website or interface.
11. Disclaimer of Warranties
THE SERVICES ARE PROVIDED "AS IS" AND "AS AVAILABLE."
TO THE MAXIMUM EXTENT PERMITTED BY LAW, FLAP DISCLAIMS ALL EXPRESS, IMPLIED, AND STATUTORY WARRANTIES, INCLUDING WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, TITLE, NON-INFRINGEMENT, SECURITY, AND RELIABILITY.
FLAP DOES NOT GUARANTEE THAT THE SERVICES WILL BE UNINTERRUPTED, ERROR-FREE, SECURE, OR FREE FROM VULNERABILITIES.
FLAP DOES NOT GUARANTEE THE VALUE, LIQUIDITY, AVAILABILITY, OR PERFORMANCE OF ANY DIGITAL ASSET.
12. Limitation of Liability
TO THE MAXIMUM EXTENT PERMITTED BY LAW, FLAP AND ITS AFFILIATES, DIRECTORS, OFFICERS, EMPLOYEES, CONTRIBUTORS, CONTRACTORS, SERVICE PROVIDERS, AND LICENSORS WILL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, EXEMPLARY, OR PUNITIVE DAMAGES ARISING FROM YOUR USE OF THE SERVICES.
THIS INCLUDES LOSSES ARISING FROM:
- digital-asset price movements;
- loss of digital assets;
- failed or incorrect transactions;
- smart-contract vulnerabilities;
- wallet compromise;
- loss of private keys;
- third-party protocol failures;
- lack of liquidity;
- blockchain network failures; or
- suspension or modification of the Services.
You use the Services at your own risk.
13. Indemnification
To the maximum extent permitted by law, you agree to indemnify and hold harmless Flap and its affiliates, directors, officers, employees, contributors, contractors, and service providers from claims, losses, liabilities, damages, and reasonable costs arising from:
- your use of the Services;
- any token or content you create, launch, or promote;
- your violation of these Terms;
- your violation of applicable law; or
- your infringement of third-party rights.
14. Governing Law and Arbitration
These Terms are governed by the laws of the State of New York, without regard to conflict-of-law principles.
If a dispute arises, you and Flap agree to first attempt to resolve it through good-faith discussions.
If the dispute is not resolved within sixty (60) days after notice, either party may elect to submit the dispute to binding arbitration administered by National Arbitration and Mediation ("NAM") in New York, including remotely by video conference where permitted.
The arbitration shall be conducted in English, and the arbitrator's decision shall be final and binding.
Nothing in this section prevents either party from seeking injunctive or equitable relief from a court of competent jurisdiction.
TO THE MAXIMUM EXTENT PERMITTED BY LAW, YOU AND FLAP AGREE THAT DISPUTES WILL BE RESOLVED ON AN INDIVIDUAL BASIS AND NOT AS PART OF A CLASS OR COLLECTIVE ACTION, AND YOU WAIVE ANY RIGHT TO A JURY TRIAL.
15. Changes and Termination
We may update these Terms from time to time. Updated Terms become effective when posted unless otherwise stated.
Your continued use of the Services after an update constitutes acceptance of the revised Terms.
Flap may restrict or terminate access to Flap-operated Services where reasonably necessary for legal, compliance, security, or operational reasons.
16. General
If any provision of these Terms is found to be invalid or unenforceable, the remaining provisions will remain in effect.
These Terms, together with our Privacy Policy and any additional terms expressly incorporated by reference, constitute the agreement between you and Flap concerning the Services.
